Terms of Use

These Terms of Use (“Terms”) govern your access to and use of SMB AI Hub and related products and services (the “Service”), operated by Agent Scaler Inc. and C Marketing Inc. (“SMB AI Hub”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. You are responsible for the information in your account, for keeping your credentials secure, and for all activity under your account.

2. Beta services

The Service is offered on an invitation-only basis and may include features that are in beta or under active development. Beta features are provided “as is”, may change or be discontinued, and may be less reliable than generally available features.

3. Subscriptions, billing & trials

  • Paid plans are billed in advance on a recurring basis through our payment processor (Stripe) according to the pricing presented at purchase.
  • Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
  • Except where required by law, payments are non-refundable and partial periods are not prorated.
  • We may change pricing on a prospective basis with reasonable notice.

4. Acceptable use

You agree not to, and not to permit anyone to:

  • Use the Service to violate any law or the rights of others.
  • Send unlawful, deceptive, or unsolicited messages, or otherwise use the Service in violation of applicable marketing, telemarketing, anti-spam, or data-protection laws — including obtaining any required consent before contacting recipients.
  • Upload or process content you do not have the right to use, or that is infringing, defamatory, or harmful.
  • Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service or its systems.
  • Use the Service to build a competing product or to train competing models.
  • Resell or provide the Service to third parties except as expressly permitted.

5. Your content

You retain ownership of the content you submit to the Service (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to operate and improve the Service and to provide it to you. You are responsible for Your Content and for obtaining all consents and permissions necessary for us to process it — including for any contacts you upload and any recipients you message through the Service.

6. AI-generated output

The Service uses artificial intelligence to generate text, audio, and other outputs. AI outputs may be inaccurate, incomplete, or unsuitable for your purpose, and do not constitute professional, legal, financial, or other advice. You are responsible for reviewing and verifying outputs before relying on or sending them. As between you and us, and to the extent permitted by law and our providers’ terms, you own the outputs you generate, subject to your responsibility for them.

7. Third-party services

The Service integrates with third-party services (such as payment, messaging, calendar, and AI providers). Your use of those services is governed by their terms, and we are not responsible for them. Connecting an integration authorizes us to exchange data with it as needed to provide the Service.

8. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by us and our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

9. Feedback

If you give us feedback or suggestions, you grant us a perpetual, royalty-free license to use it without restriction.

10. Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive.

11. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI outputs will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars (USD 100).

13. Indemnification

You agree to indemnify and hold us harmless from claims, losses, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The courts located in Delaware will have exclusive jurisdiction over any dispute, except where prohibited by applicable law.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
